Terms of Use.
These terms govern the relationship between SHIFTFM, the subscribing organization, and its authorized users.
Introduction
SHIFTFM is provided as a digital operations platform designed to help facility-management teams organize, execute, and monitor day-to-day work through a connected operating environment.
These terms define the relationship between SHIFTFM, the organization participating in the service, and its authorized users.
Use of the platform, activation of a subscription, or commencement of a trial period constitutes acceptance of these terms by the person legally authorized to represent the customer organization.
Definitions
Platform: The SHIFTFM system together with related applications, interfaces, and services.
Customer: The organization that subscribes to or trials SHIFTFM services.
User: Any employee, contractor, or other person the customer authorizes to use the platform.
Account Administrator: The person authorized by the customer to manage users, permissions, and organization-level settings.
Customer Data: The data, records, attachments, and operational information entered into the platform by the customer or its users.
Customer Environment: A dedicated operating environment established for the customer in order to separate its data and operations from those of other customers.
Nature of the Service
SHIFTFM provides digital tools that assist with managing and following facility operations.
SHIFTFM provides the information, operational record, and tools that support follow-up and decision-making, while final professional, administrative, and technical decisions remain with the customer’s authorized personnel according to their responsibilities.
The platform processes, displays, and links data based on information entered by the customer and its users. Accordingly, the accuracy of outputs and reports depends in part on the accuracy and completeness of the entered data.
Dedicated Client Environment
Each customer’s data is managed through its assigned operating environment and access-isolation controls designed to limit cross-customer data overlap and unauthorized access.
A dedicated customer environment does not transfer ownership of the application, software, design, databases, processing mechanisms, source code, or any intellectual-property rights in the platform to the customer.
The customer receives only a limited, non-exclusive, non-transferable right to use the service during the subscription or trial term.
Customer Data Ownership
Customer Data entered into the platform remains the property of the customer or the relevant rights holder, as applicable.
SHIFTFM does not acquire ownership of Customer Data merely because it stores or processes that data.
The customer grants SHIFTFM the rights technically necessary to process, store, transfer, display, and back up Customer Data to the extent required to provide, operate, secure, and support the service.
Aggregated and De-identified Statistics
SHIFTFM may generate and use aggregated or de-identified statistics derived from use of the platform for service improvement, capacity planning, performance measurement, analysis, general metrics, and publication of overall platform-usage statistics.
Such statistics must not identify a customer, its users or facilities in a reasonably identifiable manner, must not disclose customer-specific confidential operational data, and must not reasonably enable re-identification of individuals or organizations from the published information.
SHIFTFM will not use a customer's name, logo, or customer-specific statistics in public or marketing materials without that customer's permission.
The creation or use of aggregated and de-identified statistics does not affect the customer's ownership of its underlying customer data.
Responsibility for Entered Data
The customer is responsible for the legality, necessity, and quality of the data it enters into the platform.
SHIFTFM does not ask the customer to enter sensitive personal data as part of the normal use of the platform.
- The legality of the data it enters.
- Obtaining the permissions or regulatory approvals required to process that data.
- The accuracy and completeness of the data.
- Determining which persons are authorized to access the data.
- Avoiding the entry of data that is unnecessary for the operational purpose.
- Avoiding prohibited, harmful, or unlawful content.
- Not using the platform as a general repository for files or data unrelated to facility operations.
The accuracy of records and outputs depends on the accuracy and completeness of the data entered into the service. The customer remains responsible for verifying the information submitted by its users and keeping it up to date.
Users and Account Administrator
The customer is responsible for identifying the users authorized to use its account, managing their permissions, and disabling access for persons who no longer require the service.
Administrative Users manage operational modules according to the permissions granted to them. Request Users are simplified users primarily used for maintenance requests, procurement requests, and tracking the requests they are permitted to follow.
Actions carried out from an authorized user account are treated as actions taken within the customer environment unless a breach or unauthorized use is proven.
SHIFTFM may rely on instructions issued by the Account Administrator within the permissions granted to that administrator unless SHIFTFM is formally notified otherwise.
The customer account administrator may reassign a user account or seat from one employee to another as required by the organization, provided the former user's access is ended or adjusted. One login identity may not be used simultaneously by multiple persons in a way that prevents identification of the actual acting user, and verification codes or access methods may not be shared in a manner that undermines account security.
Subscription Limits and Reasonable Use
Subscription pricing and limits are defined in the quotation, subscription order, or other agreed commercial documents. Limits may include facilities, users, units, service scope, storage capacity, or other operational boundaries.
The subscribed plan defines which SHIFTFM modules, capacities, and commercial entitlements were purchased. User permissions only determine who inside the customer organization may use those included modules and capacities.
"Full Permissions" means full permissions inside the modules and features included in the customer's subscribed plan, and does not unlock every SHIFTFM module regardless of subscription.
Legitimate use up to the included plan capacity is normal use. When a customer approaches a relevant limit, SHIFTFM may provide a notice that the included capacity is nearing its limit.
When an included limit is reached through legitimate operational use, that is a commercial capacity event rather than abuse. SHIFTFM may stop additional creation in that category and direct the customer to request expansion, a service-scope adjustment, or an appropriate plan change.
SHIFTFM may apply reasonable use controls to protect service stability, including controls on automated requests, mass record creation, intensive attachment uploads, or other unusual usage patterns that consume resources in a way that affects the service or other customers.
Where legitimate customer growth causes plan limits to be exceeded, expansion is handled through the appropriate plan, service-scope adjustment, or commercial proposal, and no retroactive extra fees are imposed unless they have been expressly agreed.

Anti-Flooding Controls
Use of the platform in a manner that floods it with data, records, attachments, or operations is prohibited.
- Creating large numbers of assets or records through automation or without a genuine operational need.
- Repeating the same record or similar data with the purpose of consuming resources.
- Creating unreasonable volumes of trial or dummy records inside an active operating environment.
- Uploading attachments in volumes or sizes disproportionate to ordinary service usage.
- Using tools, scripts, or external automation to raise input rates beyond announced limits or controls.
- Attempting to bypass user, facility, capacity, or request limits.
When abnormal usage is detected, SHIFTFM may temporarily take one or more of the following measures to protect service stability.
- Restrict the operation or user causing the issue.
- Suspend creation of additional records or attachments.
- Require correction of the usage pattern or deletion of data unrelated to the operational purpose.
- Apply a temporary technical limit to protect service stability.
- Suspend the affected part of the service if the risk continues.
Where the nature of the issue permits, SHIFTFM will seek to confine the measure to the user or function causing the issue rather than suspending the entire customer environment.
Payment and Activation
Users may create an account and access the customer portal through the approved registration flow. Activation, renewal, or continued availability of paid services and operating environments remains subject to completion of the commercial requirements and payment of amounts due under the applicable quotation, subscription, or agreement.
Subscription fees are collected in advance before provision or renewal of the paid service unless otherwise agreed in writing.
Taxes and regulatory charges are added where applicable.
Expiry and Non-Payment
At the end of a paid term, if renewal does not occur, SHIFTFM may take operational archival and access-control measures.
- Suspend user access to the customer environment.
- Move Customer Data into an archived state.
- Stop ordinary processing and update activities.
- Retain data in accordance with the published retention policy and applicable legal requirements.
Suspension of access does not itself mean immediate deletion of Customer Data.
Service Restoration
The customer may request reactivation of its environment during the applicable data-retention period.
Reactivation is subject to the pricing and terms in force at the time of the return request.
Archived data is not an active operating environment or an immediate backup copy, and restoration may require technical steps before the account can resume service.
Trial environments are governed separately under the Trial & Subscription Policy.
Intellectual Property
All rights relating to SHIFTFM, including the software, designs, structures, models, templates, processing mechanisms, reports, trademarks, and improvements, belong to SHIFTFM or its licensors.
These terms do not grant the customer the right to copy, resell, reproduce, create a competing product from, or attempt to extract the source code of the platform.
Suspension for Risk
SHIFTFM may suspend a specific user, part of the service, or the entire account when necessary in cases that include unlawful use, attempts to access another customer’s data, technical attacks, harmful content, resource abuse, urgent security risk, or material breach of these terms.
Where the nature of the case permits, SHIFTFM will work to limit the suspension to the user or component causing the issue instead of suspending the entire organization.
External Technical Services
SHIFTFM relies on specialized infrastructure, hosting, processing, and communications services to deliver parts of the platform.
Such providers may be used for platform operations, data hosting, transaction processing, data presentation, or other technical functions necessary to the service.
Public materials describe these providers by their functional role in delivering the service, such as hosting, infrastructure, processing, communications, backup, and related technical operations.
Changes to the Service
The platform may be developed or updated, and interfaces, workflows, or features may be added, changed, or removed for service improvement, security, or performance reasons.
A materially contracted core function will not be removed without notice or a reasonable alternative unless the change is urgently required for security or regulatory reasons.
Updates to These Terms
SHIFTFM may update these Terms of Use from time to time without obtaining a new individual approval from every customer or user where the change is non-material. Non-material changes may include, without limitation, clarifications of wording, formatting or structural updates, contact-information updates, correction of errors, clarification of an existing process, operational or technical descriptions that do not materially reduce customer or user rights or materially increase their obligations, and changes needed to reflect existing platform functionality without materially changing the contractual relationship.
Non-material updates become effective when the updated terms are published, and the Last updated date on this page is revised accordingly. If a change is material and materially affects customer rights, user rights, data-processing practices, material customer obligations, material service restrictions, payment or subscription obligations, or another substantial element of the legal relationship, SHIFTFM will provide notice through the platform and/or another appropriate communication channel.
Where applicable law or the nature of the change requires renewed acceptance, SHIFTFM may require the affected customer or user to accept the updated terms before continuing normal use. For changes that do not legally require renewed explicit acceptance, continued use of the service after the effective date may constitute acceptance of the updated terms, subject always to the laws and regulations applicable in the Kingdom of Saudi Arabia.
Liability Limits
Any limitation of liability, exclusion, or commercial cap that applies between SHIFTFM and a customer is governed by the applicable commercial agreement, signed documents, and the laws and regulations of the Kingdom of Saudi Arabia.
Where a customer relationship requires more specific liability wording, it is confirmed through the applicable signed commercial documents and governing law.
Governing Law and Jurisdiction
These terms are governed by the laws and regulations in force in the Kingdom of Saudi Arabia.
The competent authorities and courts in the Kingdom have jurisdiction over disputes in accordance with applicable procedural and subject-matter rules.
